Select Fund Description

The Select Fund offers you stable or variable rates of return and the opportunity to individually select the mortgages in which you want to invest.

You decide which mortgages suit you, based on information about the loan, its term and interest rate, the security property and the borrower. Mortgages are secured on a first mortgage basis, and must meet our lending criteria (refer Note 6 of the PDS). You receive the benefits and the rights that attach to the mortgage that you select.

From an individual Investor’s perspective, the Investor is exposed to the specific selected mortgage, and does not enjoy the benefit of the diversification of the Pooled Mortgages Option portfolio.

The rates of return are not guaranteed and are determined by future revenue of the Select Fund and may achieve lower than expected returns.

Fund Objective

To provide Investors with a stable and predictable monthly income by investing in registered first mortgages over real property in Queensland and Northern NSW.

Investment Strategy

GPS’s objective is for the Fund to offer stable or variable rate of return and the opportunity to individually select the registered first mortgages in which you want to invest.

Fund Assets

The Fund will invest exclusively in registered first mortgage loans over residential, commercial, retail and industrial property in Qld and Northern NSW.

Minimum Transaction Requirements

Minimum initial investment in each Select Mortgage:	$10,000
Minimum additional investment in each Select Mortgage already invested in:	$1,000

Distributions

Frequency of Distributions	Monthly.
Returns	The investment objective is for returns to be stable or variable as indicated on the specific mortgage’s Supplementary PDS (“SPDS”).
Payment method	Direct deposit to your nominated account (which can be either your external account or your GPS interest bearing holding account).

Withdrawal Rights

Eligibility	As an Investor in the Fund, GPS can only repay your investment once the borrower has repaid the loan.

Fees and Charges

Establishment & contribution fees	Nil.
Withdrawal fees	Nil.
Management costs	3.75% to 5.5% including GST (estimated) of funds under management, generally deducted from income. Expenses are paid out of the assets of the Fund when due and payable. Management fees are paid monthly in arrears out of the assets of the Fund. This fee includes an amount payable to an adviser (if applicable).

Risks of Investing

As with any investment there are risks.

Tax Considerations

The Fund is not expected to pay income tax. Investors are responsible for declaring their Distributions from the Fund. Withholding tax may apply in particular circumstances, e.g. Investor does not wish to provide their tax file number (“TFN”).

Complaints and Dispute Resolution

GPS provides an internal complaints and dispute resolution process for Investors and is also a member of an external complaints resolution body.

Easy Steps to Invest

New Investments
Investing in the GPS Invest Select Fund is a two step process. You need to register to become a member of the Fund, and once a member of the Fund you can invest in specific investments.

Step 1: Read the Select Fund PDS

To register to become a member of the Fund you need to read the PDS, talk to your investment adviser and then complete the GPS Invest Select Fund Registration Form (“Registration Form”) attached to this PDS.

Step 2: Completing your registration
Complete the Registration Form that applies to you as type of Investor:

Form 1 for an individual or individuals; or
Form 2 for a company, trust (including superannuation fund) or partnership

Step 3: Signing the Registration Form
The Registration Form must be signed by all relevant parties as indicated on the forms. The Fund is unable to accept unsigned Registration Forms. If the Registration Form is signed by the authorised attorney of an Investor, a certified copy of the power of attorney or other authorising document must be attached.

Step 4: Attach all relevant documentation
The Anti-Money Laundering & Counter-Terrorism Financing Act 2006 requires GPS to identify you and verify your identity when you register to join the Fund. As a result, you will need to provide certified copies of relevant identification documents(s) for GPS to verify your identity. The documentation required is specified in the relevant Registration Form.

What is an acceptable certified copy of a document?
An acceptable certified copy of a document that has been certified as a true copy of the original by one of the following:

a person enrolled on the roll of a Supreme Court or the High Court as a legal practitioner; a judge, registrar or deputy registrar of a court; a magistrate; a chief executive officer of a Commonwealth court;
a justice of the peace; a notary public;
a police officer;
an agent of Australia Post in charge of supplying postal services to the public; a permanent employee of Australia Post with 2 years continuous service employed in supplying postal services to the public;
an Australian consular or diplomatic officer;
a finance company officer with 2 years continuous service with one or more finance companies; an officer or authorised representative of an AFSL holder with 2 years continuous service;
a member of the Institute of chartered Accountants in Australia, CPA Australia or National Institute of Accountants with 2 years continuous membership.

GPS cannot accept certified copies by fax or email and must receive the original Registration Form and all relevant documents personally or by mail.

Step 5: Send your Registration Form

Step 6: Selecting your investments
Once you have been accepted as a member of the Fund GPS will forward information regarding potential investments. Select your investment/s, then request the Supplementary PDS for the investment/s from GPS by calling 1800 999 109.

Read the Supplementary PDS for the investment/s you are considering investing in and talk to your investment adviser.

Step 7: Completing your application
Complete the Application Form that accompanies the Supplementary PDS of the investment/s you would like to invest in.

Send your completed Application Form/s and your cheque to:

Withdrawals

Withdrawals are not available to Fund Investors during the term of each Selected Mortgage.

To allow for the efficient management of construction investments GPS may make principal repayments to Investors from ongoing sales at its discretion. For example, GPS may give priority according to the timing of each Investor’s investment in the investment (ie. on a first in, first out basis). This condition will only remain in effect whilst the borrower under the loan is not in default pursuant to the terms of the mortgage.
